A company issuing employee stock options under section 62(1)(b) must follow the approval procedure and disclosures prescribed by the Companies Act, 2013 and rule 12.
A grant gives the employee an option subject to the plan terms. Vesting is the point at which the option becomes exercisable under those terms. Exercise is the employee's act of using the option to apply for shares.
Tax treatment depends on the nature of the grant, exercise, employer, employee and applicable income-tax provisions. Payroll and tax treatment should be reviewed for each plan.
Eligibility depends on the company type, participant status and the applicable Companies Act rules. Consultants shouldn't be treated as eligible employees without checking the relevant provision.
